At the Ordinary General Meeting of Shareholders of The Swatch Group Ltd on Tuesday 12 May 2026, Mr. Andreas Rickenbacher was elected as a new member of the Board of Directors with 92.2% of the votes cast in his favor. Andreas Rickenbacher's profile and professional background are significant assets that will support the Group's strategy.

Andreas Rickenbacher, a Swiss citizen and business economist, was a member of the Bern Cantonal Government from 2006 to 2016. He had previously been an entrepreneur and consultant. Since 2016, after more than 20 years in politics, he is an entrepreneur and an experienced independent member of boards of directors in the private sector.

The proposal by the bearer shareholders to elect Mr. Steven Wood as their representative on the Board of Directors was, however, rejected at the Annual General Meeting, with 79.6% of the vote cast against it. This marks Mr. Steven Wood’s second consecutive defeat since 2025. For the second time, the shareholders have clearly rejected his election as the representative of the bearer shareholders on the Board of Directors.

Consequently, the Board of Directors has once again appointed Mr. Jean-Pierre Roth, a long-standing and experienced representative of the bearer shareholders on the Board of Directors, in accordance with Art. 22 para 4 of the Articles of Association.
